About the Role

Our client at LHHH is seeking a detail-oriented and proactive Corporate Paralegal to join our legal team in Austin. This role supports corporate attorneys in managing a wide range of legal and compliance matters, with a focus on corporate governance, transactions, and regulatory filings.

Key Responsibilities

  • Draft and maintain corporate documents including articles of incorporation, bylaws, board resolutions, and stock certificates.
  • Support M&A and venture capital transactions by preparing closing binders, due diligence materials, and regulatory filings.
  • Manage entity records and filings, including DBAs and EINs.
  • Coordinate board and shareholder meetings, including preparation of agendas, minutes, and consents.
  • Maintain corporate records and entity management databases.
  • Draft and review contracts such as NDAs, employment agreements, and vendor contracts.
  • Conduct legal research and respond to regulatory or internal requests for information.
  • Support ethics and compliance initiatives, including policy updates and training documentation.

Qualifications

  • Bachelor’s degree and Paralegal Certificate from an ABA-approved program.
  • Minimum 3–5 years of experience as a corporate paralegal, preferably in a law firm or in-house legal department.
  • Strong knowledge of corporate governance, entity formation, and compliance requirements.
  • Experience with M&A or venture capital transactions is highly desirable.
  • Proficiency in Microsoft Office Suite and legal management software.
  • Excellent organizational, communication, and problem-solving skills.

  • Competitive salary range: $85,000–$115,000 depending on experience.
